The non-resident process, explained

1. Remote onboarding & KYC

We collect identity and UBO documents online for the notary's Wwft (anti-money-laundering) checks — no office visit.

2. Registered office

A Dutch registered address is mandatory for the KVK. We arrange one so you can incorporate from abroad.

3. Power of attorney

You sign a volmacht so the notary can execute the deed on your behalf — since 2024 this is fully online.

4. Notary → KVK → RSIN

The notary incorporates the BV; we register it at the KVK, giving you a KVK number and RSIN.

5. BTW & DGA payroll

We arrange your BTW number and set up payroll for the director-shareholder's customary salary.

6. Bank account assistance

We prepare your KYC file and guide you to banks and EMIs that onboard non-resident-owned BVs.

What non-resident founders should know

A Dutch BV is fully open to foreign ownership and management, which is exactly why it is a popular EU vehicle for founders based abroad. There are a few areas where the non-resident path differs from a domestic one — none of them a blocker, but worth planning for.

No residency, but identity checks are stricter

You do not need a Dutch address, DigiD or residence permit to own or direct a BV. However, the notary must complete Wwft identity and UBO verification, and some steps (a bank onboarding, occasionally a notary video session) can require an extra identity check depending on your nationality. We prepare this file with you upfront so there are no surprises.

Registered office in the Netherlands

Every BV needs a Dutch registered office for the Handelsregister. If you have no premises here, we arrange a compliant registered address so your incorporation and KVK registration can proceed.

The DGA and the customary salary (gebruikelijk loon)

If you are a director and hold 5% or more of the shares you are a DGA (director-major shareholder). A DGA must draw a customary salary — the highest of €58,000 (2026), the salary of the most comparable employment, or the highest-paid employee in the company or group. A lower salary is only allowed if you can substantiate it. We run the payroll so wage tax is handled correctly from month one.

Holding structure

Many founders incorporate a holding BV that owns the shares of an operating BV. This can help ring-fence retained profits and, under conditions, benefit from the participation exemption on qualifying dividends between the two. Whether it is worth the extra entity depends on your profit level and plans — we advise on this during intake rather than defaulting everyone into two BVs.

Non-resident Dutch BV — FAQ

Can a non-resident own a Dutch BV?

Yes. Foreign individuals and companies can own 100% of a Dutch BV, and there is no residency requirement to be its director. Ownership and management are open to non-residents.

Do I have to travel to the Netherlands?

Usually not. Since 2024 the notarial deed can be executed online, and we can incorporate via a power of attorney (volmacht). Some banks or identity checks may still request a video or in-person step depending on your nationality.

Do I need a Dutch registered address?

Yes — a BV must have a registered office in the Netherlands for the KVK. We can arrange a registered office address for non-resident founders.

Can you help open a business bank account?

Yes. Non-resident-owned companies face stricter onboarding, so we guide you toward banks and payment providers that accept them and help prepare the KYC file. We cannot guarantee any specific bank's decision.

What salary must I pay myself as director?

A director-major shareholder (DGA) must draw a customary salary — the gebruikelijk loon — of at least €58,000 gross in 2026 (or higher where the rules require). We set up payroll so this is handled correctly.
